1. Acceptance of Terms

By accessing or using the AnyTransfer website, APIs, mobile applications, and services (collectively, the "Service"), you agree to be bound by these Terms & Conditions. If you are using the Service on behalf of a business or organization, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity. If you do not agree to these Terms, you may not access or use the Service.

2. Description of Service

AnyTransfer is a cloud file management platform that allows registered users and unregistered guests to upload, organize, and share files via unique public share links. Service features, quotas, and pricing depend on the plan tier selected (Free / Pro / Enterprise). We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.

3. Eligibility & Accounts

• You must be at least 18 years of age (or the age of majority in your jurisdiction) to create an account.
• You agree to provide accurate, current, and complete registration information and to maintain the security of your password and account credentials.
• You are responsible for all activities that occur under your account, whether or not you have authorized them. Notify us immediately of any unauthorized account use.
• We may, in our sole discretion, refuse service, terminate accounts, or remove or edit content.

4. Acceptable Use Policy

You may use the Service solely for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable local, national, or international law or regulation.
• Infringe the intellectual property or privacy rights of any third party.
• Attempt to gain unauthorized access to our servers, networks, or data.
• Overload, flood, mail-bomb, spam, or otherwise impair the Service's performance.
• Bypass or circumvent any upload size limits, bandwidth quotas, or access controls we impose.
• Use the Service to distribute malware, ransomware, spyware, adware, or any other malicious code.
• Mirror, scrape, crawl, or bulk-download the Service or its content without our written permission.
• Resell, sublicense, lease, or otherwise commercially exploit the Service outside of an Enterprise agreement.

5. Prohibited Content

You must not upload, store, or share any of the following content on the Service:

• Illegal, pirated, counterfeit, or stolen material.
• Child sexual abuse material, non-consensual pornography, or bestiality content.
• Hate speech, threats, harassment, incitement to violence, or discriminatory material.
• Defamatory, fraudulent, or deceptive content.
• Content containing personal identifiable information (PII) of third parties shared without consent.
• Content that violates the Privacy Policy or the rights of any third party.

We reserve the right (but not the obligation) to remove, block, or report any content that we determine, in our sole discretion, violates this Section or may be harmful to users, third parties, or the Service.

6. File Uploads & Storage

• Each account tier has specific storage, file size, and bandwidth limits as described on the Pricing page. Exceeding these limits may result in throttling, suspension of uploads, or downgrade of service.
• Free plan storage and guest uploads are provided on a best-effort basis and may be subject to purging of inactive files after a reasonable period of notice.
• We recommend that you maintain backups of any content you upload. The Service is not a substitute for your own archival or redundancy strategy.
• We do not routinely access or view the contents of your private files, except as necessary to provide the service, investigate violations, or comply with valid legal process.

7. File Sharing & Public Links

• Any file for which you generate a share link becomes accessible to anyone who possesses that link. Share links are effectively public — treat them with the same care as a public URL.
• You are solely responsible for the consequences of sharing a file link, including any downstream redistribution by third parties.
• You may revoke a share link at any time by deleting or renaming the associated file from your dashboard. Revocation is typically effective within seconds but may take up to an hour in edge-cached regions.
• We are not responsible for any content shared via the public links of our users, and such content does not reflect our views or policies.

8. Intellectual Property Rights

Your content: Between you and AnyTransfer, you retain full ownership, copyright, and all other rights to content you upload to the Service. By uploading content, you grant us a limited, worldwide, royalty-free, non-exclusive license to host, copy, transmit, and display your content solely as necessary to operate and make the Service available to you and your intended share-link recipients. This license terminates when you delete the content or your account, except where continued storage is required by law.

Our IP: The Service, including its software, graphics, user interface, logos, documentation, and trademarks, is owned by or licensed to AnyTransfer and is protected by copyright, trademark, and other intellectual property laws. You may not copy, distribute, modify, or create derivative works from the Service itself.

9. Payment & Subscriptions

• Paid plans (Pro, Enterprise) are billed on a recurring monthly or annual basis via the payment method you provide. You authorize us to charge your payment method for any subscription fees incurred.
• Subscription fees are non-refundable except where legally required or as explicitly stated in our 30-day money-back guarantee for first-time annual subscriptions.
• Downgrades or cancellations take effect at the end of the current billing period. No partial-month refunds are issued.
• Prices are subject to change upon 30 days' notice via email or prominent in-app messaging.

10. Suspension & Termination

• By you: You may cancel your account or subscription at any time through the account settings page. Cancellation takes effect at the end of the paid billing period.
• By us: We may suspend or terminate your account and/or access to the Service immediately, without prior notice or liability, if you breach these Terms (including non-payment, copyright infringement, or prohibited content). In the event of termination for serious breach, data may be deleted without refund.
• On termination (except for a permanent ban for breach), you may export your files within 30 days, after which all data associated with your account may be permanently deleted.

11. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, ANYTRANSFER AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ADDITIONAL LIMITATIONS ARE SET FORTH IN OUR SEPARATE Disclaimer PAGE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANYTRANSFER, ITS DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATING TO YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY UNDER THESE TERMS FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO ANYTRANSFER IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). THE FOREGOING LIMITATIONS APPLY EVEN IF ANYTRANSFER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless AnyTransfer and its officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, and expenses (including attorneys' fees) arising out of or relating to: (a) your breach of these Terms; (b) any content you upload, store, or share through the Service; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any other act or omission by you in connection with the Service.

14. Modifications

We reserve the right to modify these Terms at any time. If a revision is material, we will notify you either by email (to the address associated with your account), by an in-app notification, or by posting the updated Terms on this page at least 30 days before they become effective. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or relating to the Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Any action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction and venue of such courts.

For claims under $10,000 USD, either party may elect to resolve the dispute through binding small-claims arbitration administered by a mutually agreed-upon arbitration provider under streamlined rules that minimize cost and burden.
